Bylaws


Article 1: Organization and Purpose

Section 1: Name

The name of this organization shall be the GREAT SACANDAGA LAKE BUSINESS ASSOCIATION, hereafter referred to as the GSLBA.

Section 2: Purpose

The purposes for which it is formed are:

  1. To promote and enhance businesses providing goods and services around and near the Great Sacandaga Lake.
  2. To encourage recreations, resourceful use and enjoyment of the Lake.
  3. To work together in promotional opportunities to broaden the knowledge and use of the Great Sacandaga Lake.

Article 2: Offices

Section 1: Office Location

A principle office of the GSLBA shall be PO Box 262, Northville, NY 12134.

Article 3: Membership

Section 1: Qualifications

Any individual, business or duly organized GSLBA or club doing business in the Great Sacandafa Lake region may be eligible for membership in this GSLBA, upon acceptance of dues.

Section 2: Associate Members

Associate members are staff of a GSLBA member in good standing.

Section 3: Friends of GSLBA

Friends of GSLBA are friends and residents of the Great Sacandaga Lake Region committed to our purpose.

Section 4: Voting Qualifications

All full members in good standing shall have one vote and the right to hold office. Associate members and Friends of GSLBA shall have no voting priviledge or the right to hold office.

Section 5: Dues

The annual dies shall be determined by the Officers for full voting membership. Annual dues shall be $100.00 for the calendar year beginning March 1 and ending February 28, or as the Officers shall decide.

Article 4: Meetings

Section 1: Officers Meetings

The Officers may hold its meetings at the office of the GSLBA or at such other places, as it may from time to time determine.

Section 2: Meetings of the Membership

There shall be an annual meeting of the membership of the GSLBA each year at a place and date as approved by the Officers, for the election of Officers and for receiving annual reports of Officers, any committees and the transaction of other business.

The GSLBA will conduct regular meetings of the membership on the first Monday of the month at 7:00pm at a location to be designated at the end of the prior month meeting.

Section 3: Special Meetings

Special membership meetings of the GSLBA may be called by the Officers or upon the written request of at least ten (10) members in good standing. Notice for any special meeting shall be given in the same manner as stated in Section 2. No business other than that specified in the notice of the meeting shall be transacted at any special meeting of the membership.

Section 4: Order of Business (Annual Meeting)

The order of business for the Annual Membership Meeting shall be as follows at the annual meeting of the membership of the GSLBA:

  1. Roll call of Officers
  2. Reading of previous annual meeting minutes
  3. Receiving communications
  4. Reports of Officers
  5. Reports of Committees and review of financial report
  6. Election of Officers
  7. Old business
  8. New business

Article 5: Offices

Section 1: General Management

The general management of the affairs of the GSLBA shall be vested in a Officers consisting of not less than three (3) Officers. See Section 3 guidelines for special meetings

Section 2: GSLBA Officers and Duties

The officers of the GSLBA shall consist of a President, Vice President, Secretary, and Treasurer and other such Officers as the Officers may from time to time determine.

  1. President – Shall preside at all meetings of the members of the GSLBA. In the absence of the President, the Vice President, then the Secretary, then the Treasurer respectively shall perform the duties of the meeting.
  2. Secretary – Shall keep the minutes of all meetings of the GSLBA. The Secretary shall post all meetings within 2 weeks of monthly meeting on sacandagalife.com/gslba/ If a member does not have internet access, the member may request a copy to be sent via the USPS.
  3. Treasurer – Shall have charge of all receipts and monies of the GSLBA, deposit same in the name of the GSLBA and shall disburse said funds as ordered or authorized by the Officers and the Bylaws. The Treasurer shall keep regular accounts of receipts and disbursements, submit records when requested and give an itemized statement as requested by the Officers. All dusbursements must carry the signature of the Treasurer and of either the President or the Secretary who shall be bonded at all times. Disbursements over $100.00 must be approved by the Officers.

Section 3: Selection of Officers

Officers shall be selected at the Annual Meeting through nominations and subsequent voting of the members at the such Meeting.

Section 4: Qualifications of Officers

The business of the GSLBA shall be managed by its Officers, each of whom shall be at least 18 years of age and a current member in good standing with an operational business.

Section 5: Officer Terms

Officers shall be selected or appointed to serve annual terms.

Section 6: Vacancies

Vacant Officer positions resulting for any reason may be filled by appointment of the President, subject to approval by a majority of the Officers then in office. The replacement Officer will fill out the remaining term and then become eligible for his/her own term as an Officer.

Section 7: Absence From Meetings

Officers missing more than four (4) regular meetings a year without good cause shall forfeit their office upon majority vote of the other Officers. The Officers may then fill said office for the unexpired position of the vacan officer’s term as noted in Section 4 above.

Section 8: Audit

The financial books of the GSLBA shall be audited upon request of at least ten (10) members in good standing by an independent CPA at the close of the business year, annualy.

Section 9: Removal/Resignation

Any officer elected or appointed by the membership may be removed by majority vote of the officers of the other offices with cause. In the event of the resignation or removal of an officer, the Officers may elect or appoint a successor to fill the unexpired term.

Section 10: Payment

No payment shall be made to any Officer for services rendered.

Article 6: Nominations and Voting

Section 1: Nominations for Officers

Nominations for Officers shall be at the annual meeting and the nominated officers must be present.

Section 2: Voting

All members in good standing may vote. Voting shall be by hand, in person at the meeting or by mail on proxy voting form. The proxy voting forms should be obtained by contacting the secretary at least 10 days prior to the meeting. A simple majority shall be required for elections.

Article 7: Committees

Section 1: Committee Appointment

The President with the consent of the Officers, may appoint committees as may be deemed necessary to further the interest of the GSLBA.

Article 8: Ammendments to Bylaws

These bylaws may be ammended by a majority vote of the membership. New bylaws may be adopted by a majority of the membership (present or via mail ballot) eligible to vote at the Annual Membership Meeting, or at a special meeting called for this purpose. The intent to ament the bylaws shall be made during the monthly meetings and must be approved by a majority vote of the membership.

Article 9: Indemnification

Every Officer of the GSLBA shall be indemnified by the GSLBA against all expenses and liabilities, including counsel fees, reasonably incurred or imposed upon him/her in connection with any proceeding to which he/she may be made a party or in which he/she may become involved, by reason of his/her being or having been an Officer of the GSLBA, or any settlement thereof, whether or not he/she is an Officer at the time such expenses are incurred, except in such cases where in the Officer is guilty of willful misfeasance or malfeasance in the performance of his/her duties. Provided, however, that in the event of settlement, the indemnification herein shall apply only when the other Officers approve such a settlement and reimbursement as being for the best interest of the GSLBA. The foregoing right to indemnification herein shall be in addition to and not exclusive of all other rights to which such Officer may be entitled.
